These Terms of Service ("Terms") govern your access to and use of the iNRI platform, website (www.goinri.com), mobile application, and related services (collectively, the "Service") operated by Techbloom India Pvt. Ltd., a subsidiary of TechBloom Inc. ("iNRI," "we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

1. About Us

iNRI is a financial services platform designed for Non-Resident Indians (NRIs) and persons of Indian origin. We provide investment management, tax filing (US and India), KYC verification, NRI documentation services (PAN, OCI, bank accounts), expert consultations, and AI-powered financial guidance.

2. Eligibility

To use our Service, you must:

• Be at least 18 years old
• Be legally capable of entering into binding contracts
• Provide accurate and complete information during registration
• Not be prohibited from using financial services under the laws of your jurisdiction

For investment services, you must meet the eligibility requirements set by SEBI (Securities and Exchange Board of India) for NRI investments, including valid KYC verification.

3. Services We Provide

3.1 Investment Services

We facilitate mutual fund investments, Systematic Investment Plans (SIPs), Systematic Withdrawal Plans (SWPs), portfolio management, and smart investing recommendations through our SEBI-registered broker partner. iNRI acts as a distribution platform; all investment transactions are executed by our broker partner in accordance with SEBI regulations.

Investment Risk: Mutual fund investments are subject to market risks. Past performance is not indicative of future results. Please read all scheme-related documents carefully before investing.

3.2 Tax Filing Services

We connect you with qualified tax professionals (Certified Public Accountants and Chartered Accountants) for US and India tax filing. iNRI facilitates the collection of your tax information and documents, matches you with an appropriate expert, and manages the filing workflow. The tax professional is responsible for the accuracy of the filed return.

3.3 NRI Services

We assist with PAN card applications, OCI card applications, NRE/NRO/FCNR bank account opening, and related documentation services. These services are facilitated through our partner network.

3.4 Consultation Services

We provide access to expert consultations for tax planning, investment advisory, and NRI-related financial matters. Consultations may be scheduled through our platform and may be recorded for quality assurance purposes (see our Privacy Policy for details).

3.5 AI-Powered Features

Our AI chatbot provides general financial guidance and answers to common NRI-related questions. AI chatbot responses are generated by artificial intelligence and are for informational purposes only. They do not constitute professional financial, tax, or legal advice. Always consult a qualified professional before making financial decisions based on AI-generated responses.

4. Your Account and Security

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Not share your account with others or create multiple accounts
• Update your information promptly if it changes

You are responsible for all activities that occur under your account. We strongly recommend enabling two-factor authentication (2FA) for enhanced security, especially given the sensitive financial nature of the data on our platform.

5. User Responsibilities

When using our Service, you agree to:

• Provide accurate and truthful information for KYC verification, tax filing, and investment services
• Upload only genuine documents (PAN, Aadhaar, passport, bank statements, etc.)
• Not use the Service for money laundering, tax evasion, or any unlawful purpose
• Comply with all applicable laws in your country of residence and India
• Not attempt to gain unauthorized access to any part of the Service
• Not interfere with the proper functioning of the Service
• Not upload malicious content, viruses, or harmful code

We reserve the right to suspend or terminate your account if these obligations are violated.

6. KYC and Regulatory Compliance

To use investment services, you must complete Know Your Customer (KYC) verification as required by SEBI and anti-money laundering regulations. This involves:

• Submitting valid identity proof (PAN card, passport)
• Address verification
• In-Person Verification (IPV) through photo/video
• FATCA/CRS declarations for tax compliance
• Aadhaar linking (if applicable)

Your KYC data is shared with our broker partner and verified through registrar and transfer agents. Failure to complete KYC will restrict your access to investment services.

7. Payments and Fees

Fees for our services (tax filing, consultations, NRI services) are displayed before you commit to a purchase. Payments are processed securely through our third-party payment gateway. Investment transactions are processed through our broker partner's payment gateway.

• Service fees are non-refundable once the service has been initiated, unless otherwise specified
• Investment amounts are subject to minimum thresholds as set by the respective mutual fund schemes
• SIP payments are debited automatically based on your chosen frequency and bank mandate authorization
• Currency conversion rates may apply for international payments
• Applicable taxes will be added to the displayed price

8. Confidentiality, Privacy, and Your Data Rights

We take the privacy and security of your personal and financial data seriously. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Your key data rights include:

• Data Export: You can download a copy of all your data at any time from your Account Settings
• Account Deletion: You can request account deletion from your Settings. Deletion has a 30-day cooling period, during which you can cancel by logging back in. After 30 days, your personal data is permanently removed.
• Cookie Preferences: You can manage your cookie and tracking preferences at any time through the cookie consent banner or Cookie Settings. Analytics cookies are required for signed-in users to ensure platform functionality.
• Marketing Opt-Out: You can opt out of marketing communications through your Settings

Certain records (tax filings, investment transactions, KYC documents) may be retained beyond account deletion as required by law.

9. Intellectual Property

All content on the Service — including the iNRI name, logo, website design, software, text, graphics, and AI-generated content — is owned by or licensed to Techbloom India Pvt. Ltd. (a subsidiary of TechBloom Inc.) and protected under applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent.

You retain ownership of all documents and data you upload to the Service. By uploading content, you grant us a limited license to use, process, and store it solely for the purpose of providing the Service to you.

10. Disclaimers

• No Investment Advice: iNRI is a distribution platform. We do not provide personalized investment advice. Smart investing recommendations and risk assessments are algorithmic tools and should not be considered as professional investment advice.
• No Tax or Legal Advice: Information provided through the Service (including AI chatbot responses) is for informational purposes only and does not constitute tax, legal, or financial advice. Tax filing services are performed by independent tax professionals.
• Third-Party Services: We integrate with third-party services (investment brokers, payment gateways, scheduling tools, etc.) that have their own terms and conditions. We are not responsible for the actions or omissions of third-party service providers.
• Market Risk: Investment returns are subject to market risk. We do not guarantee any returns on investments made through our platform.
• Service Availability: The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free access.

11. Limitation of Liability

To the fullest extent permitted by law, Techbloom India Pvt. Ltd., its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or investment value, arising out of your use or inability to use the Service — even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or relating to the Service shall not exceed the amount you have paid to iNRI in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Techbloom India Pvt. Ltd. and its affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Inaccurate information you provide (including tax and KYC data)
• Your violation of any applicable law or regulation

13. Termination and Account Deletion

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice. Reasons for termination may include violation of these Terms, KYC non-compliance, suspected fraud, or regulatory requirements.

You may delete your account at any time through your Account Settings:

• You must liquidate all active investments and close pending orders before requesting deletion
• Account deletion has a 30-day cooling period during which you can cancel by logging back in
• After 30 days, your personal information is permanently and irreversibly removed
• Tax filing records, investment transaction records, and KYC documents may be retained for the legally required retention period (5-7 years)
• A hashed (non-reversible) version of your email is kept to prevent account re-creation for abuse purposes

Upon termination, all provisions of these Terms that should reasonably survive (including ownership, indemnification, limitations of liability, and dispute resolution) will remain in effect.

14. Service Modifications

We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. This includes changes to features, pricing, availability of investment schemes, or partner services. We are not liable for any such modification, suspension, or discontinuation.

15. Referral Program

Our referral program allows you to earn rewards by referring friends to iNRI. By participating, you agree to:

• Share referral links only with individuals who have consented to receive them
• Not spam, use bots, or engage in fraudulent referral activity
• Accept that rewards are subject to the specific program terms (investment referrals require 90-day holding period, tax referrals require filing completion)
• Accept that we may modify or discontinue the referral program at any time

16. Governing Law

These Terms are governed by and construed in accordance with the laws of India. For investment-related disputes, the jurisdiction of SEBI and relevant Indian regulatory bodies shall apply.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Bangalore, India.

18. US Sanctions Compliance

You represent and warrant that (i) you are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) you are not listed on any United States government list of prohibited or restricted parties.

19. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

The failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Effective Date" above and notify you through the Service or by email. Your continued use of the Service after any update constitutes acceptance of the revised Terms.
